           4      This contract is between Sandra L. Nargiz, owner and
               operator of SANDINAR, INC., and owner of Juan Valdez
           5   Carolina, a Selle Francais Stallion, and
               ___________________, the owner of the mare described
           6   below.

          11   TERMS:
                  All fees and requirements which are part of this
          12   contract must be complied with at the time this contract
               is executed.
          13      Shipped Semen:  The semen collection fee is the
               responsibility of the mare owner.  The semen will be
          14   shipped via Federal Express overnight.  All shipping
               fees are the responsibility of the mare owner.  The mare
          15   owner guarantees that only the mare described above will
               be bred from the shipments of semen and that it will be
          16   administered by a licensed veterinaria, and any excess
               will be promptly and properly destroyed.
          17      Live Foal Guarantee:  The live foal guarantee ends at
               the time that the baby first stands and nurses.  If the
          18   mare doesn't conceive with the first collection, the
               owner of the mare can request additional collections for
          19   a period of two years between March and September, until
               the mare comes in foal.  If the mare hasn't conceived at
          20   the end of the two-year timeframe, any future
               collections will be at a reduced stud fee.
